The Belmont Special Education Advisory Council. Articles of Organization of the undersigned, desiring to form a non-profit educational organization, do hereby certify:

First: The name of the organization is the Belmont Special Education Advisory Council (BSEAC).

Second: The place in this state where the organization will conduct its primary activities is in Belmont, MA.

Third: The organization is organized exclusively for educational purposes, which includes working towards the understanding of, respect for, support and appropriate education for all children with special needs in the communities of this association. This may also include the making of distributions to other organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code.

Fourth: The names and addresses of the persons who are the initial organizers of the organization are as follows:

Fifth: The organization is authorized by its bylaws to engage in fundraising activities, receive contributions from public and private sources, and to solicit such funds through appeals, mailings and other agreed upon means. No part of the net contributions of the organization shall inure to the benefit of, or be distributed to its members, officers, or any other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article Three. No substantial part of the activities of the organization shall include the carrying on of propaganda, or otherwise attempting to influence legislation or the intervention in or participation in any political campaign on behalf of or in opposition to any candidate for public office.

Sixth: Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501(C)(3) of the Internal Revenue code, or the corresponding section of any future federal tax code.

Seventh: These articles may be amended from time to time by written instrument or instruments signed by the officers provided no amendment shall authorize the officers to conduct affairs of the organization in a manner or for any purpose contrary to the provisions of section 501(C)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code.

Eighth: These articles shall carry an effective date of April 9, 2003 and are incorporated into and adopted by the board in the minutes of the Belmont Special Education Advisory Council, as amended.
